Capper Usage Agreement
This Capper Usage Agreement ("Agreement") is entered into between Cashify LLC ("Cashify," "we," "us") and you, the individual or entity registering as a Capper on the Platform ("you," "your," or "Capper"). This Agreement governs your use of the Platform as a content provider and community operator and supplements our Terms of Service, which are incorporated by reference. Capitalized terms not defined here have the meanings given in the Terms of Service.
By completing onboarding and activating your Capper account, you agree to be bound by this Agreement. If you do not agree, you may not operate as a Capper on the Platform.
Entertainment and Informational Purpose Only. All Content you publish through the Platform must be presented strictly for informational and entertainment purposes. Nothing you publish may be framed as financial advice, gambling advice, or a guarantee of any outcome. You are solely responsible for including appropriate disclaimers in your Content where necessary.
1. Definitions
The following terms have the meanings set out below and supplement the definitions in the Terms of Service.
- "Cashify Service Fee" means the 3% fee retained by Cashify on each transaction processed through the Platform.
- "Community" means the Discord server, Telegram channel, or other third-party community platform associated with your Product and integrated with the Platform.
- "Net Revenue" means the amount received by you after deduction of the Cashify Service Fee and applicable Stripe processing fees (2.9% + $0.30 per transaction).
- "Payout" means the disbursement of Net Revenue to your connected Stripe account in accordance with Stripe's standard payout schedule.
- "Prohibited Content" means any Content described in Section 5 of this Agreement.
- "Stripe Account" means the Stripe Connect account you establish to receive Payouts from the Platform.
2. Onboarding and Account Setup
2.1 Requirements
To activate your Capper account, you must: (i) be at least 18 years of age; (ii) complete identity verification as required by Cashify and Stripe; (iii) connect a valid Stripe Account for Payouts; (iv) accept these Terms of Service and this Agreement; and (v) provide accurate and complete information about yourself and your Community.
2.2 Identity and Tax Information
Because Cashify processes Payouts on your behalf, you are required to provide identity and tax information through Stripe, including your Social Security Number or Tax Identification Number, as required by US and Canadian tax law. You are responsible for the accuracy of all tax information you provide. Cashify will issue tax forms (e.g., IRS Form 1099-K or 1099-NEC) where required by law. You are solely responsible for reporting and paying all taxes on income earned through the Platform.
2.3 Account Accuracy
You agree to keep your account information accurate and up to date, including your Stripe Account details, contact information, and Community links. Failure to maintain accurate information may result in Payout delays or account suspension.
3. Revenue Share and Fees
3.1 Fee Structure
For each transaction processed through the Platform, the following fees apply:
- Payment Processing (Stripe): 2.9% + $0.30 per transaction.
- Cashify Service Fee: 3% per transaction.
- Total per transaction: 5.9% + $0.30.
- Marketplace Fee: $0 (no additional marketplace fee).
- Minimum transaction amount: $5.00 for recurring plans.
Current fee details are always available on our Fees page. Cashify reserves the right to update its Service Fee with reasonable advance notice to active Cappers.
3.2 Payouts
Net Revenue is disbursed to your Stripe Account according to Stripe's standard payout schedule. Standard payouts typically arrive within 2 business days for US accounts and per your Stripe dashboard schedule for Canadian accounts. Instant Payouts are available at an additional fee of 4% (maximum $2,000 USD or $2,500 CAD per payout) and are subject to Stripe's eligibility requirements.
3.3 Payout Holds
Cashify reserves the right to place a hold on your Payouts in the following circumstances:
- Suspected fraud, money laundering, or illegal activity.
- An elevated volume of chargebacks or payment disputes on your account.
- Violation of this Agreement, the Terms of Service, or Stripe's terms.
- Pending investigation of a complaint filed by a Subscriber.
- Regulatory or legal requirements.
We will notify you by email if a hold is placed on your account and provide a reason where permitted. Holds will be released promptly once the underlying issue is resolved.
3.4 Disputes and Chargebacks
When a Subscriber files a payment dispute or chargeback, Stripe charges a $15.00 dispute fee (non-refundable). If you contest the dispute, an additional $15.00 fee may apply, which is refunded if you win. You are responsible for the disputed transaction amount and all associated fees. Cashify will provide reasonable assistance in gathering evidence to contest legitimate disputes, but the outcome is determined by Stripe and the card issuer.
An elevated chargeback rate may result in Payout holds, account review, or account termination at Cashify's discretion.
3.5 Refunds
You may issue refunds to Subscribers at your discretion, subject to the terms of our Refund Policy. When you issue a refund, the original Stripe processing fee is not returned. Cashify's Service Fee is refunded proportionally — in full for full refunds, and proportionally for partial refunds. You bear the cost of the non-recoverable Stripe processing fee on any refund you issue.
3.6 Stripe Radar
Cashify plans to integrate Stripe Radar for fraud detection and prevention. When available, additional fees associated with Stripe Radar will be disclosed on our Fees page and in advance to active Cappers.
3.7 Stripe Account Termination
Cashify processes payments through Stripe Connect. Stripe may independently suspend, restrict, or terminate your Stripe Account at any time in accordance with Stripe's own terms of service, for reasons including but not limited to high chargeback rates, suspected fraud, or violations of Stripe's acceptable use policy. Any such action by Stripe is outside of Cashify's control, and Cashify is not liable for any loss of income, Payout delays, or disruption to your Products resulting from Stripe's independent actions. In the event Stripe terminates or restricts your account, you are responsible for resolving the matter directly with Stripe. If your Stripe Account is terminated, your Capper account on Cashify will also be suspended until a valid Stripe Account is reconnected.
4. Community Management Obligations
4.1 Active Management
You are responsible for actively managing the Community associated with each of your Products. This includes: (i) maintaining the Community in a reasonably active and accessible state for all active Subscribers throughout their Subscription Period; (ii) delivering Content with reasonable regularity consistent with the Product you offer; and (iii) responding to Subscriber concerns in a timely and professional manner.
4.2 Discord and Telegram Integration
You authorize Cashify to connect to your Discord server or Telegram channel via API integration for the purposes of automatically provisioning and revoking Subscriber access. You are responsible for maintaining the necessary bot permissions and integrations required for this to function. If you revoke Cashify's access to your Community without notice, your account may be suspended and affected Subscribers may be eligible for refunds.
4.3 Community Standards
You are responsible for moderating your Community and ensuring it remains free of Prohibited Content as defined in Section 5. While Cashify may monitor the Platform, you are primarily responsible for your Community's conduct and content. Cashify reserves the right to take action against your account if your Community contains Prohibited Content, regardless of whether you personally posted it.
4.4 Closure and Abandonment
If you wish to close or discontinue your Community or Product, you must: (i) provide at least 7 days' advance notice to your active Subscribers and to Cashify at support@cashify.co; and (ii) cancel all active Subscriber subscriptions through the Platform. Abandoning your Community — defined as failing to post Content or respond to Subscribers for 14 or more consecutive days without notice — may result in Cashify suspending your account, cancelling Subscriber subscriptions, and issuing pro-rata credits to affected Subscribers at our discretion.
5. Prohibited Content
In addition to the Acceptable Use policy in Section 10 of the Terms of Service, the following Content is specifically prohibited for Cappers on the Platform:
- Guaranteed outcome claims: Claiming or implying that any pick, play, or recommendation is guaranteed to result in a win or profit. All Content must include appropriate disclaimers that past performance does not guarantee future results.
- Misleading records or statistics: Publishing fabricated, cherry-picked, or otherwise misleading win/loss records, ROI figures, or performance statistics.
- Insider information: Publishing Content that relies on or claims to be based on non-public, material information obtained illegally or in breach of any duty of confidentiality.
- Directing Subscribers off-platform for payments: Soliciting or accepting payments from Subscribers outside of the Cashify Platform for Products or Content that should be processed through the Platform.
- Impersonation: Impersonating any professional sports organization, athlete, official, or other person or entity.
- Illegal gambling promotion: Promoting, facilitating, or encouraging illegal sports wagering or gambling activity in any jurisdiction.
- Harassment of Subscribers: Threatening, abusing, or harassing Subscribers in any context, including within your Community or through the Platform's messaging features.
- Copyright infringement: Publishing Content that infringes third-party intellectual property rights, including broadcast clips, proprietary odds data, or other licensed sports content without authorization.
Violation of this section may result in immediate account termination without Payout of withheld funds where permitted by law.
6. Content Standards and Moderation
6.1 Your Responsibility
You are solely responsible for all Content you publish or distribute through the Platform or your Community. Cashify does not verify, endorse, or take responsibility for the accuracy, legality, or quality of your Content. You represent and warrant that your Content: (i) does not infringe any third-party rights; (ii) complies with all applicable laws; and (iii) is not Prohibited Content under Section 5.
6.2 Cashify's Rights
Cashify reserves the right, but not the obligation, to review, remove, or restrict access to any Content at any time without notice if we determine, in our sole discretion, that it violates this Agreement, the Terms of Service, or applicable law. Removal of Content does not automatically entitle you to any refund of fees or restoration of your account.
6.3 Complaints
Subscribers may report Content or conduct concerns to Cashify at support@cashify.co. We will investigate complaints in good faith and may contact you for your response. Repeated or serious complaints may result in account review, suspension, or termination.
7. Payout Dispute Process
If you believe a Payout has been incorrectly calculated, withheld, or delayed, you must notify Cashify within 60 days of the expected Payout date by emailing support@cashify.co with the subject line "Payout Dispute" and including: (i) your account details; (ii) the expected Payout amount and date; and (iii) a description of the issue.
We will acknowledge your dispute within 5 business days and aim to resolve it within 30 days. If we determine a Payout error occurred, we will correct it in your next scheduled Payout. If you are not satisfied with our resolution, you may escalate the dispute through the arbitration process described in Section 22 of the Terms of Service.
8. Account Termination
8.1 Voluntary Closure
You may close your Capper account at any time by contacting us at support@cashify.co. You must provide at least 7 days' notice and cancel all active Subscriber subscriptions before your account is closed. Any Net Revenue earned prior to closure will be paid out according to Stripe's standard schedule, less any amounts subject to holds or disputes.
8.2 Termination by Cashify
Cashify may suspend or terminate your account immediately and without prior notice if you:
- Violate this Agreement or the Terms of Service.
- Publish Prohibited Content or violate the Acceptable Use policy.
- Engage in fraud, misrepresentation, or illegal activity.
- Accumulate an elevated volume of chargebacks or payment disputes.
- Abandon your Community without notice as defined in Section 4.4.
- Threaten, harass, or abuse Subscribers, Cashify staff, or other Members.
- Fail to maintain accurate account or tax information after notice from Cashify.
8.3 Effect of Termination
Upon termination of your account: (i) all active Subscriber subscriptions to your Products will be cancelled; (ii) Cashify will notify affected Subscribers by email; (iii) Cashify may, at its sole discretion, issue pro-rata credits to affected Subscribers for unused Subscription Period; (iv) any pending Payouts will be processed subject to completion of any holds or dispute resolution; and (v) Cashify may withhold funds necessary to cover outstanding chargebacks, disputes, or refunds for up to 180 days following termination.
If your account is terminated for cause, Cashify reserves the right to permanently ban you from the Platform and to withhold any Payouts where permitted by applicable law.
8.4 Data After Termination
Upon account closure, your public profile and Content will be removed from the Platform. Cashify will retain payout records, tax information, and transaction history as required by law and as described in our Privacy Policy.
9. Representations and Warranties
You represent and warrant to Cashify that:
- You are at least 18 years of age and legally able to enter into this Agreement.
- If operating as a business entity, you are duly organized and authorized to enter into this Agreement.
- All information you provide to Cashify, including identity, tax, and payment information, is accurate and complete.
- Your Content does not and will not infringe any third-party intellectual property rights, privacy rights, or any other rights.
- Your use of the Platform complies with all applicable laws, including any laws governing sports picks, gambling advertising, or online content in your jurisdiction.
- You have all necessary rights and permissions to operate your Community and to grant Cashify the integration access described in Section 4.2.
10. General Provisions
10.1 Relationship of the Parties
You are an independent contractor, not an employee, agent, partner, or joint venturer of Cashify. You have no authority to bind Cashify to any obligation. You are solely responsible for your own taxes, insurance, and compliance with applicable employment or contractor laws.
10.2 Governing Law and Disputes
This Agreement is governed by the laws of the State of Nevada. Any disputes arising under this Agreement are subject to the dispute resolution and arbitration provisions in Section 22 of the Terms of Service.
10.3 Changes to This Agreement
Cashify may update this Agreement from time to time. We will notify you by email of material changes at least 14 days before they take effect. Your continued use of the Platform as a Capper after the effective date constitutes acceptance of the updated Agreement.
10.4 Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between Cashify and you as a Capper and supersedes all prior understandings. In the event of a conflict between this Agreement and the Terms of Service on Capper-specific matters, this Agreement controls.
